EndNote2bib reads its files and produces a BibTeX reference list on the standard output. Since EndNote files are inherently unstructured, EndNote2bib only does a passable job (for example, it may need to invent a key for an entry, and it may have difficulty with the BibTeX entry type).
This package is not available from either major free distribution, MiKTeX or TeX Live.
